Overview

datascalehr uses a modular contracting approach designed to provide clarity and comprehensive coverage for our services. Our standard contract package consists of three interconnected documents that work together to govern our relationship with clients.

Contract Documents

Master Services Agreement (MSA)

The MSA serves as the foundational legal framework between datascalehr and our clients. As a Software as a Service (SaaS) provider, our MSA is structured as a licensing agreement that grants clients the right to use our software platform subject to defined terms and restrictions. This document covers:

  • License Grant and Restrictions: Terms for accessing and using the datascalehr platform
  • Service Delivery: Service levels, support commitments, and performance standards
  • Liability and Indemnification: Limitation of liability provisions and mutual indemnification terms
  • Intellectual Property: Ownership rights and permitted uses of the software and data
  • Commercial Terms: Payment and invoicing terms, renewals, and termination provisions
  • General Provisions: Confidentiality, governing law, and dispute resolution

The MSA is designed to remain in place throughout our relationship and governs all orders placed under it.

Data Processing Addendum (DPA)

The DPA addresses all data privacy and protection requirements, ensuring compliance with global privacy regulations.

Order Form (OF)

Each Order Form specifies the commercial details for specific services purchased:

  • Service Selection: Specific modules and functionalities being licensed
  • Pricing Structure: Fees for services based on our Per Connector (PAPM) model
  • Term Length: Duration of the service commitment
  • Training & Implementation Details: Any professional services or training included

How These Documents Work Together

  1. The MSA establishes the overall legal and business relationship
  2. The DPA ensures privacy compliance and data protection
  3. Order Forms define specific services and commercial terms for each purchase

All three documents are incorporated by reference, creating a complete agreement. The MSA typically governs in case of any conflicts between documents, except for data protection matters where the DPA takes precedence.
